HealthProm is a well-respected charity. This standing brings with it a need for us to be attuned intellectually and culturally with our supporters, partners and funders. Working at the highest level is the only way to ensure that the changes we make to the lives of families we support are sustainable, so we need to ensure that our Board is also geared up effectively and actively to support this approach. This is where you can help.

We are looking to strengthen the Board, particularly with a trustee to help with income generation and fundraising.

The role

Trustees will join a small and active trustee Board supporting the effective delivery of HealthProm’s current programmes and shaping its future strategy and direction.

Time commitment

Every trustee is expected to prepare for and participate in HealthProm Board meetings (currently six per annum, each lasting three hours and held in London), and may also be asked to serve on a specialist committee.

Trustees may also be asked to support staff in certain projects, initiatives or areas in which they have specialist skills, knowledge or experience.

HealthProm trustee appointments are unpaid but travel and other out-of-pocket expenses will be reimbursed.

Overall Objective

With other Trustees, to be responsible for the overall governance and strategic direction of HealthProm, developing the charity’s aims, objectives and goals in accordance with the governing document, legal and regulatory guidelines.

Key Responsibilities

  1. To take part in formulating and regularly reviewing the strategic aims of HealthProm, and evaluating performance against agreed targets
  2. To ensure that the policy and practices of HealthProm are in keeping with its objectives and its memorandum and articles of association (and any variations thereto) and that these are carried out by senior management.
  3. To ensure compliance of HealthProm with statutory and legal requirements
  4. To ensure that HealthProm functions within the legal and financial requirements of the Charities Commission and strives to achieve best practice
  5. To ensure that the income of HealthProm is spent solely for the purposes as laid out in its objectives
  6. To act in the best interest of HealthProm at all times

Main duties

a.   To assist the Chair as an active member of the Trustee Board in exercising its responsibilities and functions

b.   To attend meetings of Trustees, whether Board or committee meetings, ensuring HealthProm’s policies and concerns are reflected in their deliberations

c.   To be familiar with the operations of HealthProm to ensure that a critical and informed view can be maintained, and participating in 

appropriate training sessions.

d.   To contribute specific skills and contacts to support HealthProm.

e.   To promote HealthProm to as wide an audience of donors and beneficiaries as possible

Code of Conduct

It is the responsibility of trustees to:

  1. Be aware of the contents of, and act within the organisation’s governing document and the law as it applies to HealthProm.
  2. Act in the best interest of HealthProm as a whole – considering what is best for the organisation and its beneficiaries and avoiding bringing HealthProm into disrepute.
  3. Manage conflicts of interest effectively – registering, declaring and resolving conflicts of interest. Not to gain materially or financially unless specifically authorised to do so.
  4. Respect confidentiality – understanding what confidentiality means in practice for HealthProm, its board and the individuals involved with it.
  5. Have a sound and up-to-date knowledge of HealthProm and how it works and of the environment within which it operates.
  6. Attend meetings and other appointments or give apologies – considering other ways of engaging with the organisation if regularly unable to attend trustee meetings.
  7. Prepare fully for meetings and all work for HealthProm – reading papers, querying anything you don’t understand and thinking through issues in good time before meetings.
  8. Actively engage in discussion, debate and voting in meetings – contributing positively, listening carefully, challenging sensitively and avoiding conflict.
  9. Act jointly and accept a majority decision – making decisions collectively, standing by them and not acting individually unless specifically authorised to do so.
  10. Work considerately and respectfully with all – respecting diversity, different roles and boundaries, and avoiding giving offence.

Trustees are expected to honour the content and spirit of this code.

Person specification

You should be able to demonstrate and provide evidence of the following criteria listed under Part One within your written application. These will be explored with you further at the preliminary interview stage, along with the criteria listed under Part Two.  We are keen to retain a relevant ethnic and gender mix on our board so are particularly keen to receive applications from women with experience in the areas set out below.

The successful candidates will be able to give evidence of:

Part One

  1. An understanding of, empathy with, and commitment to HealthProm’s vision, mission and values
  2. Proven experience and expertise in income generation and fund-raising
  3. Experience of the region in which HealthProm operates
  4. Understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship and an understanding of the respective roles of the Chair, Trustees and Chief Executive
  5. The ability to work effectively as a collegiate member of a board while contributing an independent perspective
  6. Some experience of board or committee membership in a charitable, public sector or commercial organisation
  7. Links to a network of current and relevant contacts

Part Two

  1. An understanding of, and commitment to, the values of accountability, probity and openness
  2. An ability to process detail and get to the heart of an issue
  3. Confident and effective communication skills with a range of audiences and ability to act as an ambassador for the organisation
  4. A willingness to devote the time and effort required to effectively discharge the dutiesof this role
