Governance Manager/Head of
6 Month Contract £40-50k depending on level

Our client a leading national health charity are seeking a highly experienced charity governance leader for a 6 month period while they go through a period of change.

To ensure that the governance arrangements are effective and represent best practice within the charity sector. This includes making sure that the Governance Team delivers a professional committee service, and acting as the primary contact for colleagues across the organisation on a range of governance issues and queries.

REPORTING TO: Director of Corporate Services
MANAGES: Governance Assistant (x2) and Governance Support Administrator


Ensure that the charity complies with its governing documents.
Ensure that the Governance Team provides effective service to all meetings of Trustees, Committees and Councils, in particular timely dispatch of papers, high quality minutes and follow-up of action points.
Identify and implement improvements to Board, Committee and Executive Team meetings to ensure that attendees are fully engaged and that the meetings are as productive as possible.
Manage the work programmes for meetings of the Board, Board Committees, UK level Councils and Executive Team ensuring co-ordination between the work programmes of different bodies and act as a key point of liaison with members of these bodies.
Personally support key meetings, including those of the Board, and Executive Team.
Responsible for recruitment, induction and training of Board, Committee and UK Council members and responsible for overseeing the recruitment process to other advisory bodies.
Responsible for ensuring the Board regularly reviews its performance and that individual trustees are appraised by the Chair.
Act as lead for the Governance and Nominations Committee, including drafting agendas, reports and papers.
Keep up to date with developments in charity governance and ensure the charity continues to adopt best practice. 

Personal Specification

Proven experience of servicing committees and minute taking
Experience of managing governance arrangements and carrying out company secretarial tasks
Proven experience of leading and managing a team
Proven experience of managing complex relationships with key stakeholders
Experience of managing a budget and ensuring value for money.
